1. Eligibility and scope
- You must be legally able to enter into a binding agreement and use the services only for lawful business or legitimate project purposes.
- Nexabee may provide software, dashboards, messaging tools, onboarding flows, automation features, support, and related operational services for platforms such as Telegram, X, or other channels we choose to support.
- Features, pricing, supported platforms, order flows, deposit rules, and service availability may change at any time.
- We may refuse service, request additional verification, or impose use restrictions whenever we reasonably believe it is necessary for legal, security, platform-risk, sanctions, anti-abuse, or operational reasons.
2. Customer responsibilities and warranties
- You represent that you have all rights, permissions, consents, notices, and lawful basis needed to use any account, group, channel, content, dataset, contact information, audience, or third-party platform connection that you submit to or use with Nexabee.
- You are solely responsible for your campaigns, targets, messages, automations, lists, instructions, and business decisions.
- You must comply with all applicable laws, regulations, sanctions rules, platform rules, anti-spam rules, privacy laws, and third-party terms that apply to your use of the service.
- You must provide accurate information and keep your account credentials, wallets, devices, and access methods secure.
3. Acceptable use and prohibited conduct
- You may not use Nexabee to send spam, misleading communications, unlawful solicitations, impersonation content, harassing content, malware, fraudulent traffic, or unauthorized outreach.
- You may not use Nexabee to violate the rules of Telegram, X, payment providers, hosting providers, analytics providers, or any other third-party service.
- You may not use Nexabee to evade rate limits, circumvent enforcement, access accounts without authorization, process unlawfully obtained data, or facilitate illegal activity.
- We may monitor, investigate, suspend, limit, or terminate use that we believe violates these Terms, our policies, third-party rules, or applicable law.
- Additional rules appear in our Acceptable Use Policy, which forms part of these Terms.
4. Third-party platforms, providers, and no guarantees
- Third-party platforms and providers have their own policies, systems, moderation decisions, pricing, uptime, and enforcement actions, which are outside our control.
- We do not guarantee account health, account retention, reach, impressions, follower counts, engagement, conversions, deliverability, revenue, token sales, community growth, or any other commercial result.
- Platform restrictions, suspensions, bans, throttling, content removals, wallet or network issues, provider downtime, and regulatory changes are risks you accept when using the services.
- Examples, case studies, projections, and prior outcomes are illustrative only and are not promises of future performance.
5. Deposits, billing, refunds, inactivity fees, and chargebacks
- Deposits to your Nexabee balance are final and non-refundable except where required by applicable law or where we expressly agree otherwise in writing.
- Platform balance or service credits are not bank deposits, not e-money, not insured, and not redeemable for cash except where required by law.
- If your account is inactive for 12 consecutive months, we may charge an inactivity or maintenance fee of USD 5 per month from the available balance until activity resumes or the balance is exhausted, where permitted by law.
- Crypto payments may be irreversible. You are responsible for using the correct wallet address, network, chain, memo, and transaction details.
- If we add card payments or other fiat methods in the future, you authorize us to contest improper chargebacks or reversals and to recover related fees, losses, or collection costs from you or your account balance where permitted by law.
- We may suspend or limit access during billing disputes, fraud review, sanctions review, abuse investigations, or chargeback events.

6. Suspension, termination, and no-refund enforcement
- We may suspend, restrict, or terminate your account or access immediately, with or without notice, if we reasonably suspect breach, abuse, complaints, fraud, chargeback risk, sanctions risk, security threats, unlawful activity, or elevated platform-enforcement risk.
- If your account is suspended or terminated for breach, abuse, fraud, chargeback conduct, policy violations, or legal risk, you will not be entitled to any refund, release of unused balance, or compensation except where required by law.
- Termination does not waive amounts you owe us and does not limit our right to investigate, preserve records, or cooperate with legal or platform investigations.
7. Intellectual property and feedback
- Nexabee and its related software, branding, workflows, designs, documentation, and service materials remain our property or the property of our licensors.
- You retain rights in your own content and data, but you grant us the limited rights needed to host, process, transmit, review, and use that content to provide, secure, and support the services.
- If you send suggestions or feedback, we may use them without restriction or compensation unless prohibited by law.
8. Disclaimers, liability cap, and indemnity
- The services are provided on an "as is" and "as available" basis to the fullest extent permitted by law.
- To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or error-free operation.
- To the fullest extent permitted by law, Nexabee will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, business opportunity, or platform access.
- To the fullest extent permitted by law, our aggregate liability arising out of or relating to the services will not exceed the amounts you paid to Nexabee for the specific service giving rise to the claim during the 90 days before the event giving rise to liability.
- You agree to defend, indemnify, and hold harmless Nexabee and its personnel from claims, losses, liabilities, costs, and expenses arising out of your content, your instructions, your campaigns, your data sources, your platform usage, your law or policy violations, or your breach of these Terms.
9. Changes, governing law, and contact
We may update these Terms from time to time by posting the revised version on the website. Continued use after the effective date of an update means you accept the revised Terms.
